Terms of Service

Terminology used regarding Terms of Service.ARTIST
The individual producing the Commission (Stated as "Seier Art")
CLIENT
The individual or party purchasing the Commission from the Artist.
COMMISSION
The form of service provided by the Artist to the Client per the Commission Agreement. Commission, Artwork, image, and/or project are used interchangeably herein and in Commission correspondence.
START OF WORK
The point in time where the Client has approved the Artist to begin their services once payment has been fully received.
COMMISSION AGREEMENT
The discussion; documented via email, direct message, and or any form of written/typed credentials, in which the Artist and Client agree to the subject matter and type of Commission to be produced. This also includes the Commission price, the time in which the Artist is expected to commence in Start of Work, the Commission deadline (if stated), fees, Transfer of Copyright, Confidentiality, and any other topic regarding the production of the commission. This Commission Agreement shall remain on record with the Artist, along with any other documents related to the Commission for at least 12 months.


1. SALE
1.1. The Artist hereby sells or transfers the Commission to the Client at the agreed value written in the Commission Agreement Prior to the Start of Work.
2. PAYMENT
2.1. Payments must be made in full (Up Front) prior to the Start of any commission.
2.2. All prices are specified as United States Dollars ($USD). It is the Client’s responsibility to ensure that they have converted currencies based on current exchange rates.
2.3. Payment method will be determined as described in the Commission Agreement prior to the Start of Work.
2.4. Accepted payments for Commissions: Cash App, PayPal, and Venmo
2.5. Once the Artist has confirmed payment from the client, a receipt copy will be documented and given to client via email as proof of the established transaction.
3. REFUND POLICY
3.1. No Refunds for Digital Commissions or Erotica Commissions, all sales are final.
4. DIGITAL COMMISSIONS4.1. Digital commissions are defined as artwork created using digital media or digital assistance (Ex: sketched by hand, colored and polished in a creative based program such as Clip Studio, Procreate, or Adobe).
4.2. Completed Digital Commissions will be sent to the client via email as a JPEG. Other files may be requested based on the conditions of the commission.
5. COMMISSION DESCRIPTION
5.1. The client is responsible for sending appropriate references and describing in detail on how they would like the commission to be accomplished.
5.2. The Client is aware that vague descriptions will make it more difficult for the artist to execute their vision. So, more detail on what is being requested is fully welcomed.
5.3. The Client is fully aware and understands the conditions stated in TERM 12 through TERM 17.
6. CHARACTER CREATION
6.1. Character Creation Commissions will be executed based on the request, description, and references of the client. Creative suggestions on the creations of an “OC” Original Character will be given by the artist if deemed appropriate.
6.2. Character Creation based Commissions are focused on expressing the visual accepts of an OC under a specified themed layout proposed by the artist.
7. EROTICA COMMISSIONS (NSFW)
7.1. Erotica Commissions are defined as Traditional or digital projects that display a more sexually driven tone.
7.2. Erotica Commissions will display nudity, acts of intimacy and sexual expressions based on the request of the client.
7.3. The Client understand to still acknowledge TERM 13 during the state of proposal for a NSFW piece.
7.4. TERM 5 and TERM 6 still applies based on the respected media choice for a NSFW Commission.
8. DEADLINES AND FLEXIBILITY
8.1. If the Commission is time-sensitive, a rush fee may be applied, to be defined and agreed upon in the Commission Agreement Prior to Start of Work.
8.2. The Artist will give a general indication of how long the Commission will take to complete, and when the Client can expect to receive the finished product prior to the Start of Work. The Artist will inform the Client on updates on the Commission or if Time of Completion needs to be adjusted.
8.3. The Artist is not obligated to explain reasoning behind extensions or delays of a Commission, but professionally will keep the client posted if changes have occurred and the deadline would have to be extended.
9. PRIORITY OF OFFERS
9.1. The Artist will prioritize each Commission request accordingly, with payment of the commission in full influencing a first come first serve basis. Commissions that satisfy the following components such as the skill level of the Artist, payment, availability, and subject matter will be placed as a higher priority than other offers.
10. ADDRESS NOTICE
10.1. The Client is responsible for ensuring that their contact details are true and correct. Either party shall notify the other party in case of change of email address prior.
11. MORAL RIGHT
11.1. The Client will not permit any use of the Artist’s name or misuse of the Commission which would reflect discredit on their reputation as an artist, or which would violate the spirit of the Commission.
12. DECLINE OF PROPOSALS
12.1. The Artist has the right to refuse any commission request based on personal or business matters. There will be a high probability that the decline will relate to an already booked commission list, and the Client will be offered an update once a slot opens for availability.
12.2. The Artist holds the right to have seasonal closing dates and will not take more commissions during that time. Potential clients will be notified when the Artist is available for new work and projects.
13. REJECTION OF PROPOSAL
13.1. The Artist holds the right to refuse any Commission request with no obligation to bid an explanation to the client. (Any explanation given will be out of courtesy).
13.2. Proposed depictions; such as sexual violence/rape, sexualizing minors, excessive filth/bodily waste, sexualized gore/death and raceplay will be immediately denied.
13.3. Any request that brings discomfort to the Artist will be instantly rejected.
13.4. Any request that the Artist deems unsuitable for development will be declined.
14. CANCELLATION OF COMMISSION
14.1. The Artist reserves the right to immediately stop working on a commission, and/or cancel a commission due to poor communication, rude/hostile behavior, unprofessional/inappropriate behavior, sexual harassment, and/or a breach of these Terms of Service.
15. COST CONFLICT:
15.1. The client understands that the cost of the Commission displayed in their given invoice is the price expected to be paid.
15.2. The client (under any circumstance) shall not compare prices between the commissioned Artist ( Seier Art ) with any other artist with the intention of receiving a discount or to criticize the cost rate.
15.3. ( Seier Art ) will not be held accountable for a financially irresponsible client.
16. BEHAVIORAL CONFLICT
16.1. The Client is expected to maintain basic social etiquette during the Commission process.
16.2. The Client understands that they are held accountable for their behavior will lead to the non-refundable cancellation or rejection of their request.
16.3. Any form of disrespect will not be tolerated by the Artist (Seier Art).
17. CONFIDENTIALITY
17.1. If the Commission is defined as temporarily confidential in the Commission Agreement, the Artist will momentarily delay public display of the image at the request of the Client.
17.2. As defined in the Commission Agreement, the length of delay will be specified by the client until public display is permitted. A Client may not request the Artist to complete a Commission without defining the time-span in the Commission Agreement to eventually allow the Artist to publicly display the image. Public delay under the terms of a confidentiality agreement will be met with a fee of 25% of the original price of the commission, which will be paid in full by the client.
17.3. If the Commission is defined as “No Display” Confidential in the agreement, the artist will not publicly display the image at the request of the Client.
17.4. A Client may not request the Artist to complete a Commission without defining the permanent confidentiality of the image. “No Display” Confidential Commissions will be met with a fee of 50% of the original price of the commission, which will be paid in full by the client.
18. ARTIST COPYRIGHT & REPRODUCTION
18.1. By commissioning the Artist, the Client is purchasing the Artist’s labor only. The Artist retains all rights to the commission, which includes but not limited to: promotional purposes on private and public platforms.
18.2. The Client may not distribute, reproduce, or profit from the Commission unless there a written agreement established and signed by both parties before the start of the commission process.
19. COMPETITIONS
19.1. Under no circumstances may the Client submit a Commission to any kind of online or offline contest.
20. PUBLIC DISPLAY & USE
20.1. The Client may display the Commission in Profiles as long as the Artist’s name (“Seier Art”) is prominently displayed along with a link to any given social media profile from the artist. Credit must be given to the artist via tagged on social media.
20.2. Any profile display of the Artist’s Commission made by the Client, must notify the Artist, unless already defined in the Commission Agreement prior to the Start of Work.
21. PROMOTION
21.1. The Artist may use images of the Commission for promotional purposes, unless otherwise agreed upon in the Commission Agreement (see Term 17 - Confidentiality).
22. EXPIRATION
22.1. This contract binds the parties, their inheritors, all their beneficiaries in interest.
23. DAMAGES
23.1. The Artist has the right to pursue damages under The United States Copyright Law, should there exist a violation in addition to a breach of these Terms of Service.
23.2. The Artist is not responsible for any emotional or psychological trauma caused by the interpretation of their artwork and will not be held legally accountable. The artist is not legally liable for any accusation of distress allegedly caused by any form of media (Digital, Traditional, Design, literature, ect.) that was produced.
24. ASSORTMENT
24.1. This agreement constitutes the entire understanding between both parties. These terms can be modified only by an instrument in writing signed by both parties. A waiver dedicated to any breach of the provisions of the Agreement shall not be construed as a continuing waiver of other breaches of the same or other provision hereof. This agreement shall be governed by the laws of the United States of America and the current residential State of the Artist.
